Senior Counsel
Tom is Senior Counsel in RPCK’s Denver office where he advises early and growth stage companies, investment firms, fund managers and foundations. He is a seasoned transactional and regulatory attorney and former General Counsel and managing partner of an impact investment firm operating in Africa, chair of boards of directors and an angel investor. Tom brings to his legal practice a unique perspective and seasoned track record as a finance and legal executive with mission-driven companies and investors.
Tom advises U.S. and international clients on private capital transactions and fund structuring, corporate legal matters, governance, and regulatory compliance. Among Tom’s areas of expertise are the design of innovative legal solutions that leverage new sources of financing to enable clients to achieve ambitious business and impact objectives. He has developed gender lens and SME investment vehicles for frontier markets, co-designed and launched first-of-their-kind blended finance partnerships, structured a social impact bond and pay-for-success grants for a family foundation, and closed numerous private capital transactions in frontier markets.
Prior to joining RPCK, Tom served as General Counsel and a managing partner of RENEW LLC, an impact investment firm investing in small and medium enterprises to achieve financial returns and positive social impact for funds managed by RENEW and a network of global impact investors.
Tom also has significant experience as an attorney supporting PE firms and in areas of mergers and acquisitions, government investigations and litigation. As a senior associate with the law firm Morgan, Lewis & Bockius Tom advised prominent private equity clients and other leading financial services firms, Fortune 100 and Global 500 companies and non-profit organizations involved in M&A, joint venture transactions, government investigations and private litigation. Tom also served as the Chief Operating Officer and legal counsel for a private family foundation backing and initiating market-based poverty alleviation efforts. Before attending law school, Tom worked in the food service industry, managing a restaurant in upstate New York.
Tom has served on numerous boards of directors, chairing the board of startup manufacturing companies as they transitioned to revenue generation and an early stage tech-enabled company. Tom is a regular speaker and trainer on a variety of subjects, guest-lecturing at leading universities, presenting at impact investing and international development conferences and delivering trainings on a variety of legal and regulatory matters facing international investors and their portfolio companies in areas of compliance, private equity negotiations and agreements, governance and privacy laws.
Tom received his B.A. in political science from Houghton College, where he graduated summa cum laude, and his J.D. from the University of Virginia School of Law. He is a member of the bar in New York, Colorado and Washington, D.C. He also is a Chartered Financial Analyst (CFA)® charterholder.
