RPCK Managing Partner Chintan Panchal will join the faculty of the Practising Law Institute’s Nonprofit and For-Profit Entity Intersection 2026: Achieving Charitable Goals Through Innovative and Nontraditional Means. The program looks at how nonprofits and philanthropic capital are increasingly using for-profit tools and structures to advance charitable goals.

Chintan will speak on the session “Nonprofit, For-Profit, and Donor Perspectives: Using For-Profit Tools and Entities for Charitable Purposes” (3:30–5:00 pm ET), alongside Prof. Dana Brakman Reiser of Brooklyn Law School and Allen Bromberger of Bromberger Law. His segment focuses on social impact fund structures and blended structures. It covers the roles foundations and nonprofits play in fund structures, catalytic capital tools, waterfall mechanics, and the terms that are most often negotiated.

Where the Disciplines Meet

Blended finance sits where several bodies of law meet: nonprofit law, investment adviser regulation, and fund market practice. Each solves for different objectives, and in blended structures they often collide.

For example, suppose a foundation commits first-loss capital to de-risk senior investors. Fund counsel may see a standard capital stack. Exempt organizations counsel may see charitable assets that risk conferring impermissible private benefit on commercial investors. Both views are grounded in their own discipline’s practice, which is why advisors can end up talking past one another. Guiding clients to efficient, high-impact outcomes requires fluency across all three perspectives.
