RPCK advised on the conversion of Biolyz GmbH in a FlexCo. Thanks to § 25 FlexKapGG, such a change of corporate form is easily realized, as it simply needs an amendment of the charter and filing with the Commercial Court (in this case in St. Pölten). The legal entity maintains its identity, i.e. the company register number, tax number etc. remain identical. This conversion also involved the use of some of the new structuring options of the FlexCo, such as authorized capital, non-voting value shares (UWA), and moderated and hybrid virtual meetings (VirtGesG). Summing up: most GmbH have every reason to convert into a FlexCo.
