We advised AWAK on its transformation from a GmbH into a FlexCo! It is now called: AWAK Anwaltsakademie FlexCo.

The revised articles of association were handled quickly and without bureaucracy, and the commercial register filing was completed within 24 hours. Many thanks to the Commercial Court of Vienna!

The legal transformation pursuant to § 25 FlexKapGG preserves the company’s identity. In other words: no partial or universal legal succession – the legal entity remains the same company. This means:

✅ Company registration number and tax ID remain unchanged
✅ Contracts remain fully valid – no amendments or adjustments necessary
✅ Contractual partners only need to be informed of the new company name.

All features of the FlexCo are optional. You can simply continue using your existing GmbH articles of association, just replace “GmbH” with “FlexCo” at the top and “GmbHG” with “FlexKapGG” at the bottom, and add any structuring elements as needed.

That AWAK is taking this step – and that the ÖRAK – Austrian Bar Association, under President Armenak Utudjian, is creating the framework for it – sends a clear signal to the profession. 👏
